SECURITISATION

The Capital Formation Engine

At the heart of HSS Capital Group's capital formation capability sits Highams Saaz Securities SARL (HSS), a Luxembourg-based securitisation platform providing a flexible, professionally governed framework through which qualifying opportunities can be structured for prospective institutional participation.

Rather than operating as a traditional investment fund or relying on fragmented investor introductions, HSS focuses on creating the legal, financial and governance architecture required to align each opportunity with an appropriate capital-markets structure.

This involves coordinating the proposed instrument, capital structure, risk allocation, security arrangements, reporting obligations and deployment mechanics, while maintaining transparency, accountability, investor protection and ongoing oversight throughout the transaction lifecycle.

Capitalisation Rather Than Capital Raising

Traditional fundraising may be slow, uncertain and disconnected from the underlying asset, business plan or long-term objectives of a project. HSS instead focuses on capitalisation: designing a coherent institutional structure around the opportunity so that its commercial model, governance, risk profile and funding requirements are considered together.

Operating from Luxembourg, the platform is capable of supporting complex funding programmes across multiple sectors and jurisdictions. Subject to the nature, scale and suitability of each opportunity, HSS can accommodate bespoke structures aligned with the requirements of the project and prospective investors.

The platform's institutional infrastructure includes:

  1. Luxembourg securitisation infrastructureProviding an established environment for the creation and administration of structured transactions.
  2. FATCA complianceSupporting the platform's international reporting and compliance obligations.
  3. GIIN registrationProviding formal identification within the relevant international tax-compliance framework.
  4. Segregated compartmentsEnabling assets, liabilities and transaction risks to be ring-fenced between qualifying programmes.
  5. Institutional governanceDesigned to support transparent decision-making, oversight, controls and reporting.
  6. Established professional service providersSupporting legal, administrative, accounting, audit and transaction requirements.
  7. International capital-markets connectivitySupporting the potential placement and administration of suitable instruments across relevant markets.

Depending on the characteristics of the opportunity, the funding strategy may incorporate one or more of the following solutions:

  1. Fund CreationFor the purpose of institutional compliance and ease of capital raise.
  2. Issuance of BondsFor suitable programmes requiring access to tradable instruments and institutional distribution channels.
  3. Structured financeTailored to the project's cash flows, assets, contractual arrangements and risk profile.
  4. Convertible instrumentsOffering the potential to combine debt-like protection with future participation in equity value.
  5. Mezzanine financeTo bridge the gap between senior debt and sponsor equity within an appropriate capital structure.
  6. Project finance structuresAligned with forecast cash flows, contractual protections and the underlying economics of the project.
  7. Bespoke hybrid solutionsCombining multiple instruments where a conventional debt or equity structure would not meet the opportunity's requirements.

Our role is not simply to search for investors or broker introductions.

We act as architects of institutional capital solutions, creating credible structures through which qualifying opportunities can be assessed and where appropriate, capitalised.
